1. Introduction

The services offered by us under these Terms of Use ("Terms") allow Members to use certain shopping, e-commerce, communication and information features ("Services"), as well as to earn reward points for certain activities.

Please read these Terms carefully before using our Services.

If you do not agree with these Terms, you must not use the Services.

If there are separate and additional terms that apply to any particular Service ("Additional Terms"), you will also need to accept those Additional Terms before being able to use that Service.

These Terms are only available in English. We recommend that you keep a copy of these Terms for future reference.

2. Information about Us

We are LQID Limited, registered in England and Wales with company number 10961029 whose registered office is at Centrum House, 36 Station Road, Egham, Surrey, England, TW20 9LF ("LQID", "we", "us", "our"). This is also our main trading address. Our VAT number is 289746531. We are a limited company.

3. Privacy Policy

Our Privacy Policy explains what personal information we collect, why we collect it, how we use it, the controls you have over your personal information and the procedures that we have in place to protect your privacy. It applies to personal information we collect through the Services.

Please make sure that you read our Privacy Policy carefully before using the Services.

4. Acknowledgment and Acceptance

By accepting these Terms, you agree to be bound by them. You may only use the Services in accordance with these Terms.

Where in the Terms a word or phrase is "In Bold and Capitalised" that means it has a special defined meaning that is then used throughout the rest of the Terms. Where we say "includes" or "including" in the Terms, that does not mean that what follows are the only examples of what we are referring to.

5. Your use of the Services

5.1 Account Set-Up

Account registration

  1. To access and use the Services, you must register for a LQID account ("Account"). In order to do so you will need to provide your full legal name, residential address, phone number, a valid email address, and any other information indicated as being required. LQID may reject your application for an Account for any reason, at our sole discretion. When you successfully open an Account you will become a "Member".
  2. You acknowledge that LQID will use the email address you provide when opening your Account as the primary method of communication with you.
  3. You will also be required to set-up a password and PIN for your Account. You are responsible for keeping your password and PIN secure, and for all activities carried out under your Account (unless it is our fault). You are liable for any loss or damage from your failure to maintain the security of your Account, password and PIN.

5.2 Account Owner

  1. The person signing up for the Account will be the contracting party ("Account Owner") for the purposes of these Terms. The Account Owner will also be the person who is authorized to then use any corresponding account we may provide to the Account Owner in connection with the Services.
  2. If you are signing up for an Account on behalf of your employer, your employer shall be the Account Owner. If this is the case, then you promise that you have the authority to bind your employer to these Terms.

5.3 LQID Shopping Account

  1. Upon completion of signing up for the Services, LQID will create a "LQID Shopping Account" on your behalf, linked to your email address. When you shop on LQID you will be a "Buyer".
  2. Your LQID Shopping Account is provided for your convenience so you can make purchases within the "LQID Marketplace". You are required to complete the identity verification process in order to activate your Shopping Account. You can top up your LQID Shopping Account via transfer from your bank account.

5.4 Personal LQID Coins Account

  1. Upon completion of sign up for the Service, LQID will create a "LQID Coins Account" under your personal profile, linked to your email address.
  2. You acknowledge that the personal LQID Coins Account will be used to collect and redeem LQID Coins you earn from certain activities in the LQID Marketplace.
  3. You acknowledge that if your personal LQID Coins Account is closed or removed in accordance with these Terms, you will permanently lose any previously earned LQID Coins and you will not earn further LQID Coins until the account is re-activated.

5.5 LQID Shops

  1. You may create a shop ("Shop") in the LQID Marketplace and list products ("Products") within the Shop. If you create a Shop then you will be a "Seller".
  2. You acknowledge that it is your sole responsibility as the Account Owner to maintain the Shop information and any associated Product information.

5.6 LQID Selling Account

  1. If you create a Shop, LQID will create a "LQID Selling Account" for your Shop on your behalf, linked to your email address.
  2. Your LQID Selling Account is used for collecting the payments received from sales of Products from your Shop. Payments received in your LQID Selling Account are subject to 30 days hold before they are available for your use.
  3. You may use the available funds in your LQID Selling Account to pay for purchases within the LQID Marketplace. You can top up your LQID Selling Account via transfer from your bank account.
  4. You acknowledge that your LQID Selling Account will be your Shop's default payments method and that it is your sole responsibility as the Account Owner to activate and maintain this payment methods. If you do not wish to keep this payment method active, it is your responsibility to deactivate it.

5.7 Shop LQID Coins Account

  1. If you create a Shop, LQID will create a "LQID Coins Account" for your Shop, linked to your email address.
  2. You acknowledge that your Shop LQID Coins Account will be used to collect and redeem LQID Coins you earn from certain activities in the LQID Marketplace.
  3. You acknowledge that if your Shop LQID Coins Account is closed or removed in accordance with these Terms you will permanently lose any previously earned LQID Coins and you will not earn further LQID Coins until the account is re-activated.

5.8 Account Fees

  1. We are currently offering all services free of charge for the duration of a pilot phase, with the following fees applicable once this phase expires (the date of which will be communicated to all Members in advance):
    1. transfer to own bank account:
      1. UK bank account - no charge (unlimited number of transfers within account withdrawal limits); and
      2. non-UK bank account - £20 per transfer;
    2. incoming transfer from own bank account:
      1. UK bank account - no charge (unlimited number of transfers within account transfer limits); and
      2. non-UK bank account - £10 per transfer;
    3. We will retain 10% of all LQID Coins earned as a LQID Rewards Fee
  2. All fees are exclusive of VAT (if applicable).

5.9 Cancellation and Suspension

  1. If you or LQID cancel your Account in accordance with these Terms, you may lose any information associated with your Account, including your Content.
  2. You may cancel your Account at any time by contacting a LQID Marketplace Advisor or sending an email to contact@shoplqid.com
  3. Cancelling your Account will mean that all of your other accounts are also cancelled. However, cancellation will not affect the availability of some of your Content that you posted on the Services before cancellation.
  4. We may suspend, withdraw, or cancel your Account (or any of your other accounts) and/or access to the Services at any time if we have reasonable grounds to believe you have breached these Terms. Where possible, we will give you notice of our intention to do this, and give you an opportunity to appeal.
  5. Upon cancellation of your Account for any reason:
    1. LQID will cease providing you with the Services and you will no longer be able to access your Account;
    2. You will forfeit balances in your Personal LQID Coins Account and Shop LQID Coins Account;
    3. We will transfer balances from your LQID Shopping Account to your nominated bank account;
    4. If you are a Seller, we will transfer cleared balances from your LQID Selling Account(s) to your nominated bank account; and
    5. If you are a Seller, you will not be entitled to any refunds of any Seller Fees, pro rata or otherwise.

5.10 Restrictions When Using the Services

By using the Services, you promise that:

  1. All registration information you submit is truthful and accurate;
  2. You will maintain the accuracy of such information;
  3. You are 18 years or older;
  4. Your use of the Services will not breach any law or regulation;
  5. You will not copy, modify, or distribute content from the Services. You agree not to "crawl," "scrape," or "spider" any page of the Services or to reverse engineer or attempt to obtain the source code of the Services;
  6. You agree not to interfere with or try to disrupt our Services, for example by distributing a virus or other harmful computer code;
  7. You will not buy, sell, rent or lease access to your Account unless you have our written permission first; and
  8. You will not share your password or PIN with anyone.

5.11 Data Charges

You are responsible for all carrier data plan and other fees and taxes associated with your use of the Services. If you're not sure what those charges may be, please ask your provider before using the Services.

5.12 Intellectual Property and Your Content

"Content" means any photos, images, videos, graphics, written content, audio files, code, information, data or any other content uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on, or in connection with, your Account.

  1. We do not claim any intellectual property rights over the Content you upload to the Services. All Content you upload remains yours.
  2. You understand that you are solely responsible for your Content.
  3. LQID has respect for intellectual property rights, and is committed to following appropriate legal procedures to remove infringing content from the Services. If Content that you own, or have rights to, has been posted to the Services without your permission and you want it removed, please contact a LQID Marketplace Advisor or send an email to support@shoplqid.com. If your Content infringes another person's intellectual property rights, we will remove it if we receive proper notice. We will notify you if that happens.
  4. By uploading Your Content to the Services, you grant LQID a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, on-going license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of your Content in order to provide the Services.
  5. You retain ownership over all Content that you upload to the Services. However, by making your Content public, you agree to allow others to view, interact with, and share that Content. You are responsible for compliance of the Content with any applicable laws or regulations.

5.13 Prohibited Content and Activities

There are certain types of activities and Content and activities we do not want on our Services.

You agree that you will not post or upload or otherwise make available any Content that is abusive, threatening, defamatory, obscene, vulgar, otherwise offensive or inappropriate, or in breach of these Terms. You also agree not to post any Content that is false or misleading, or to use the Services in a manner that is fraudulent or deceptive.

The following is a non-exhaustive list of Content and activities that are prohibited when using the Services.

  1. Child Exploitation: You may not offer goods or services, or post or upload Content, that exploit or abuse children, including images or depictions of child abuse or sexual abuse, or that present children in a sexual manner.
  2. Harassment, Bullying, Defamation and Threats: You may not offer goods or services, or post or upload Content, that harass, bully, defame or threaten a specific individual.
  3. Hateful Content: You may not offer goods or services, or post or upload Content, that condone or promote violence against people based on race, ethnicity, colour, national origin, religion, age, gender, sexual orientation, disability, medical condition or veteran status.
  4. Illegal Activities: You may not offer goods or services, or post or upload Content, that contravene, or that facilitate or promote activities that contravene, the laws of the country in which you operate or do business.
  5. Intellectual Property: You may not offer goods or services, or post or upload Content that infringes the intellectual property or other rights of others.
  6. Malicious and Deceptive Practices: You may not use the Services to transmit malware or host phishing pages. You may not perform activities, or upload or distribute Content, that harm or disrupt the operation of the Services, or other infrastructure of LQID or others, including LQID's third party providers. You may not use the Services for deceptive commercial practices or any other illegal or deceptive activities.
  7. Personal and Confidential Information: You may not post or upload any Content that contain personally identifiable information, sensitive or special categories of personal information, or confidential information, such as credit card numbers, confidential national ID numbers, or account passwords, unless you have consent from the person to whom the information belongs or who is otherwise authorised to provide such consent.
  8. Self-Harm: You may not offer goods or services, or post or upload Content, that promote self-harm.
  9. Spam: You may not use the Services to transmit unsolicited commercial electronic messages.
  10. Terrorist Organizations: You may not offer goods or services, or post or upload Content that imply or promote support or funding of, or membership in, a terrorist organization.
  11. Inappropriate, False, or Misleading Content: You may not offer goods or services, or post or upload Content, that are inappropriate, false or misleading.

5.14 Prohibited and Restricted Items for Sale

The following is a non-exhaustive list of items, products and services that are prohibited from being sold on our Services:

  1. Adult entertainment, websites or content
  2. Advertisements / non-commercial listings
    • You may not use our Services as a portal to endorse products/services
    • All product listings must be of a commercial retail nature
  3. Animals
    • Including the sale and/or promotion of live animals, animal parts and animal traps
  4. Currency
    • Real, fake or virtual currency
    • This includes the sale of gift cards, vouchers and all items that are cash equivalents
  5. Drugs and paraphernalia
    • Items that promote the sale or use of drugs (incl. prescription drugs & legal highs)
  6. Firearms and weapons
    • Legal or not, products of this nature are prohibited
  7. Gambling products
    • Using the Services to promote gambling is forbidden
  8. Hazardous materials
    • Includes any product that may risk health and safety
  9. Human parts or remains
  10. Stolen goods
  11. Sexual services
  12. Unlocking software
    • Any product that will facilitate illegal activity

    The following is a non-exhaustive list of items and products that are subject to restrictions when being sold on our Services.

    In all cases where restrictions exist based on e.g. age or location, it is the responsibility of the Seller to ensure they are observing the restrictions and complying with the specific laws of the jurisdictions where their products are purchased.

  13. Alcohol
    • The sale of alcoholic products is prohibited to underage individuals
    • Sellers must also be aware that the sale of alcohol to certain countries is prohibited
  14. Artefacts & antiques
    • Artefacts and antiques that have a historical or artistic value that are protected under national laws or regulations are prohibited
  15. Credit & debit cards
    • Cards considered as collectibles, that are inactive, are allowed
  16. Digital products
    • Any items where the order is fulfilled electronically or requires a download are prohibited
  17. Event Tickets
    • Current lottery, football, transport service, event or show tickets are prohibited, unless;
      • Tickets are sold by an authorised promoter, show organizer or business operator
  18. Knives
    • Kitchen knives are an exception
  19. Medicines
    • The sale of vitamins, supplements and non-prescription drugs is allowed, providing they are unopened and the list of ingredients is visible and detailed
  20. Perfumes
    • Testers, used perfumes and perfume replicas are not permitted
  21. Plants & Seeds
    • Sellers must be aware of any regulations implicating the sale of plants & seeds to applicable territories
  22. Recalled items
    • Items that are subject to a recall, but the sale of the product is not prohibited
  23. Second-hand items
    • Second-hand items in good condition can be sold on our Services, but must be labelled as second-hand
  24. Tobacco
    • Products that involve the sale of tobacco are prohibited from our Services
    • Electronic cigarettes can be sold into some jurisdictions, providing nicotine is not supplied
  25. Travel products
    • Re-selling of transport tickets (e.g. train, plane) is prohibited

We reserve the right to apply exemptions on a case-by-case basis. We may at any time and without notice (though we will try to give notice where possible), remove any Content, and/or suspend your Account or your access to the Services if you engage in any of the above activities or offer for sale any prohibited items or restricted items that fail to meet the defined requirements.

5.15 Account Matching Service

To make it easier to find your friends using the Services, you can enable the "Auto Add Friends" feature in the "LQID Chat App". If you choose to enable this feature, we will collect the e-mail addresses and phone numbers in your mobile device's address book, and enable you to add friends in the Services. Once you have added a friend in the Services, you can send them messages over the Services. We will collect information from only the phone numbers and e-mail addresses fields in your mobile device's address book. You can at any time change your mind and disable the Account Matching Service by turning off this feature under "Settings" -> "Friends". If you choose to provide us with your phone number, other users may be able to find you using the "Auto Add Friends" feature.

6. Selling

6.1 Shop

  1. As a Seller, you are responsible for the operation of your Shop. Any sale of Products through your Shop will be a transaction between you and a Buyer, and will be governed by an agreement between you and the Buyer. We do not take part in the transactions between you and Buyers, but are always available for enquiries from both Buyers and Sellers and take responsibility for ensuring our Services enable these transactions to take place seamlessly. We have no responsibility for, or control over, the fulfilment of any transaction on behalf of you, or the quality, legality, or efficacy of any Product, but can be contacted should any dispute arise, and will work with both Buyers and Sellers to resolve all disputes in line with these Terms and Conditions and wider consumer rights.
  2. You promise to:
    1. Display Products in a complete and accurate manner, including detailed descriptions of them in the Shop;
    2. Display prices for Products in the currency in which they are sold in the Shop, inclusive of any taxes;
    3. Provide Buyers with information on any delivery restrictions before the start of the order process, and also delivery times;
    4. Keep Buyers informed of the status of their order;
    5. Respond to Buyer inquiries in a timely manner;
    6. Inform Buyers of, and honour, the Seller Guarantees;
    7. Display the payment methods available to Buyers, and make all payment methods known before the start of the order process;
    8. Prominently display your contact details including the trade name under which you are doing business, VAT number (if applicable) organization number, address, details of any trade or professional association memberships and register details (if any), telephone number and/or email address for customer service contact in the Shop, as well as within the sequence of web pages presented to Buyers during the check-out process;
    9. Provide Buyers with information on the different technical steps involved in placing an order, and the technical means for identifying and correcting any input errors before placing an order;
    10. Before a Buyer places an order, display (on the checkout screen) the main characteristics of the Products, the total price of the Products, including taxes (such as VAT), all delivery charges and any other costs;
    11. Confirm each transaction on a durable medium; and
    12. Include terms and conditions for purchase of Products in your Shop, including payment terms, delivery terms, details regarding withdrawal, termination, return, exchange, cancellation or refunds, export or legal restrictions regarding Products.

6.2 Seller Fees

We are currently offering all services free of charge for the duration of a pilot phase. Sellers should note that rewards payable to Buyers, as detailed in section 8.2, remain in force through this pilot phase. Should Seller Fees be introduced on the conclusion of this pilot phase, these will be communicated to Members clearly in advance. Please note the following:

  1. You acknowledge that LQID reserves the right to charge Seller Fees to Sellers for the Services, and to change the Seller Fees from time to time at its discretion.
  2. The price stated in each Product listing must be an accurate representation of the sale price for that Product. You must not "manipulate" sales, which means activities where the price no longer accurately represents the monetary value of the transaction for that Product. For example manipulating includes intentionally stating one price in the Product listing, but then charging a higher price to the Buyer, altering the Product's price prior to a sale for the purpose of avoiding any Seller Fees that might be in place, and hacking into another person's account and altering prices. Both Buyers and Sellers may not manipulate the price of any Product for any reason.
  3. Sellers have up to 90 (ninety) days from the date of each transaction for a Product to request refunds on Seller Fees. Request for refunds of Payment Fees outside of 90 days will not be honoured.

6.3 Taxes

  1. As a Seller, you agree that LQID is not responsible for determining tax applicable to your business. You will ensure that you account for all proper taxes to the respective tax authorities and that you comply with any registration requirements imposed by law for the purposes of any tax (including VAT registration requirements).
  2. You agree that you are responsible for determining the amount of sales, use or other taxes that you may owe as a result of purchases or sales you make. You agree to fully compensate and defend LQID from any and all claims, demands, damages, awards, fines, costs, expenses and liability in any way associated with these taxes or for any failure to comply with the law relating to any tax.
  3. If you did not provide a VAT registration number when registering your Account:
    1. You confirm that you are not required by law to register for VAT; and
    2. You agree to register for VAT as and when you become required to do so by law.
  4. We may cancel your Account (or any of your other accounts) at any time if:
    1. Requested to do so by a tax authority;
    2. Required by law to do so;
    3. We are unable to verify your VAT registration number (if you provided one to us when registering your Account or if you display a VAT registration number on your Shop);
    4. We have reasonable grounds to believe that any confirmation you have given us that you are not required by law to register for VAT, is incorrect; or
    5. You fail to register for VAT as and when you are required to do so by law.
  5. You agree to provide LQID with details of your tax affairs and tax records if we have reasonable grounds to believe we need access to those details and records in order to comply with our legal obligations. We may share those details and records with our professional advisers in order to allow us to comply with our legal obligations.

6.4 Duplicate Listings

The duplicate listings policy is designed to help Sellers list Products in a way that makes it easy for Buyers to find and compare items that interest them. You cannot have more than one listing of an identical Product at the same time. These restrictions on duplicate listings include listing an identical Product in different categories, or listing an identical Product using different Shops. Listings are considered duplicates if:

  1. They are for Products that have no significant difference between them. The following types of listings are considered duplicate listings:
    1. Separate listings have either identical title, description, photo, or other parts in a listing.
    2. Listings for identical Products with an additional item of insignificant value added to create a listing that appears different. For example, you cannot have one listing of a Rolex watch, and another listing for the same model Rolex watch with a package of watch cleaning kit.
    3. Separate listings for identical Products compatible with several products or models where the same compatible models are displayed in all listings. For example, the following separate listings for identical phone chargers that fit the Motorola Droid, BlackBerry Bold, and Samsung Galaxy are not allowed:
      • One listing for a "phone charger for Motorola Droid, BlackBerry Bold, Samsung Galaxy"
      • One listing for a "phone charger for Bold, Galaxy, Droid"
      • One listing for a "phone charger for Droid, BlackBerry Bold, Galaxy"
  2. They are listed under "one shop". The following will be considered "one shop" if Accounts are used to sell duplicate listings:
    1. A Shop from an individual LQID account,
    2. Multiple Shops on file that belong to the same Account, and that are not registered to separate businesses.

6.5 Removal of Listings

As a Seller, it is your responsibility to ensure that your Product listings are in accordance with these Terms. If they don't, some or all of your listings may be ended or not displayed by us in the LQID Marketplace.

7. Seller Guarantees

As a Seller, you will be required to accept and honour the "Seller Guarantees" in force from time to time that apply to all Products that are sold in the LQID Marketplace. Please review these each time you list a Product for sale.

8. Rewards Program Rules

8.1 Earning LQID Coins

  1. LQID Coins are earned on purchases. The amount earned can vary by Product and Seller. The amount earned is clearly displayed with the pricing information for each Product. Typically, rewards start from 1% of the Product price and are paid in LQID Coins. We will retain 10% of all LQID Coins earned as a LQID Rewards Fee.
  2. Rewards are not earned on additional costs that are not included in the Product price (e.g. delivery fees, taxes, etc.).
  3. LQID Coins have a transparent and fixed value that is set and maintained by LQID. Currently, each 100 LQID Coins are valued at £1 for purchases made within the LQID Marketplace. LQID Coins have no value outside of the LQID Marketplace.

8.2 Paying Rewards

As a Seller you must pay a minimum reward of 1% of the Product price on each Product you sell on the LQID Marketplace. You can set the reward amount for each product in the Product listing. Rewards are paid to the Buyer's LQID Coins Account or to LQID for Buyers who do not have a LQID Coins Account in good standing (for example, the Buyer has no LQID Coins Account or their LQID Coins Account is closed, cancelled or blocked). This reward will be deducted from the payment for a Product you receive as a Seller.

8.3 Accepting Payments with LQID Coins

As a Seller, you will receive payment in pounds in your LQID Selling Account when a Buyer pays you from their LQID Coins Account. You will be charged Seller Fees and pay rewards for such payments.

8.4 LQID Coins Account Balance

Your official LQID Coins Account balance is determined by our system, and you acknowledge that the balance displayed to you may differ from your official LQID Coins balance. We reserve the right to adjust your LQID Coins balance with award reversals for Products returned or transactions not completed or cancelled.

8.5 Refunds

As a Buyer, you will be required to return the LQID Coins earned from any purchase if you request a refund from the Seller.

8.6 Rewards Redemption

LQID Coins are as good as cash within the LQID Marketplace. Redeeming your rewards is as easy as paying from your LQID Coins Account for your next purchase assuming you have sufficient balance to cover the purchase price.

9. Updates and Upgrades

9.1 From time to time, we may need to deploy or provide patches, updates, upgrades, additional content or other modifications to Services (for example for maintenance, enhancements, to add or remove features, resolve software bugs or address security concerns).

9.2 These updates and upgrades may result in the Services being temporarily unavailable. In certain circumstances, we may need to suspend, withdraw or disable the Services for longer periods while we deploy these updates and upgrades. We will always try and give you notice of this, but it may not be possible in all cases.

9.3 We will take reasonable measures to minimise the impact of any updates and upgrades on your use of the Services and where possible give you advance notice of any updates and upgrades which may impact your use of them.

10. Liability and Disputes

10.1 Limitation of Liability

  1. Items You Purchase. You understand that LQID does not manufacture, store, or inspect any of the Products sold through the Services. The Products in the LQID Marketplace are produced, listed, and sold directly by Sellers, so LQID cannot and does not make any promises about their quality, safety, or even their legality. Any claim related to a Product you purchase must be brought directly against the Seller of the Product.
  2. Content You Access. You may come across Content that you find offensive or inappropriate while using our Services. We make no statements concerning any Content posted on the Services. LQID is not responsible for the accuracy, copyright compliance, legality, or decency of Content that you accessed through the Services.
  3. People You Interact With. You can use the Services to interact with other individuals, either online or in person. However, you understand that we do not screen Members. Please be careful and exercise caution and good judgment in all interactions with others, especially if you are meeting someone in person.

    This section only applies where you are using the Services as a consumer:

  4. Our liability. We will not be liable to you for any losses or damages suffered by you that:
    1. Were not reasonably foreseeable by you and us at the time you accepted these Terms - loss or damage is reasonably foreseeable if either it is obvious at the time you accepted these Terms that it may happen or, both you and we knew it might happen, for example, if you and we discussed it; or
    2. Are not caused by us breaking a term of these Terms or any other failure by us.
  5. We do not promise that:
    1. The Services will be uninterrupted, timely, secure, or error-free.
    2. The results that may be obtained from the use of the Service will be accurate or reliable or meet your expectations; or
    3. The Services will be free of viruses or other harmful materials.

    This section only applies where you are using the Services as a business.

  6. Our liability. We do not limit in any way our liability for death or personal injury caused by our negligence. Subject to that, we will under no circumstances be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise arising under or in connection with these Terms for:
    1. Any loss of profits, sales, business or revenue;
    2. Loss or corruption of data, information or software;
    3. Loss of business opportunity;
    4. Loss of anticipated savings;
    5. Loss of goodwill; or
    6. Any indirect or consequential loss.

    Subject to the above, our total liability to you in respect of other losses arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the greater of the amount of any purchases you make and your Seller Fees over a 12-month period.

  7. We do not promise that:
    1. The Services will be uninterrupted, timely, secure, or error-free.
    2. The results that may be obtained from the use of the Service will be accurate or reliable or meet your expectations; or
    3. The Services will be free of viruses or other harmful materials.
  8. Exclusion of Warranties. Except as expressly stated in these Terms, we do not give any representation, warranties or undertakings in relation to the Services. Any representation, condition or warranty that might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law.

10.2 Disputes

We will do our best to resolve any disputes with us over these Terms and your use of the Services.

These Terms, their subject matter and its formation, are governed by English law. However, if you are a consumer and resident of any other European Union country you will benefit from any mandatory provisions of, and legal rights available to you under, the laws of that country. Nothing in these Terms affects your rights as a consumer to rely on these local law mandatory provisions and legal rights.

You and we both agree to that the courts of England and Wales will have non-exclusive jurisdiction. However, if you are a consumer and resident of any other European Union country, you may also bring proceedings in that country.

10.3 Disputes Among Users

You are solely responsible for your interactions with other Members and users of the Services. If you find yourself in a dispute with another Member or user, we encourage you to contact the other party and try to resolve the dispute amicably. We reserve the right, but have no obligation, to monitor disputes between you and other Members and users. If you are a Seller, you agree that in certain circumstances, if we do monitor a dispute and reasonably consider that you should make a refund to a Buyer but have refused to do so, we may nonetheless deduct, or charge, that refund amount from or to your Selling Account and then refund that Buyer. Should you be unable to resolve a dispute directly with a Buyer or Seller, our team of trained LQID Advisors can be contacted to provide dispute resolution on your behalf.

We accept no responsibility or liability for, and shall have no involvement with, any contact, relationship or dealings you may have with any other Members or users of the Services. You agree to compensate and defend us fully against any claims or legal proceedings bought against us by any other person in respect of any relationship or dealings you may have with Members and users of the Services.

11. General

Changes to these Terms

We may revise these Terms at any time to reflect changes in or to:

  1. Relevant laws or regulatory requirements.
  2. Security, technical or operational issues; and/or
  3. The Services

If we change these Terms, we will post summary details of the changes below. If we have your e-mail address, we may also decide to e-mail you with information on those changes.

By accepting revised Terms you agree to comply with them. If you do not agree to the revisions, you must stop using the Services.

These Terms of Use were last reviewed and updated on 29th October 2018.

Summary of changes:

  • Account Fees section 5.8 and Seller Fees section 6.2 updated to reflect current fee structure.
  • Earning LQID Coins section 8.1(a) updated to reflect the LQID Rewards Fee.
  • References to card payments removed throughout.
  • Additions to prohibited & restricted items list at 5.14
  • Changes to disputes process at 6.1 and 10.3

General

If any term, or part of a term, of these Terms is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.

If you or we break these Terms of Use and you or we take no action against the other, you or we will still be entitled to use our rights and remedies in any other situation where you or we break these Terms.
